1. Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including the Terms of Service, Privacy Policy, and Subscription Terms. These documents are incorporated by reference and are part of this Agreement.


2. Services and License Grant

2.1 License to Use: We grant you a limited, non-exclusive, non-transferable license to access and use the Services, subject to the terms of this Agreement.

2.2 Restrictions: You agree not to (i) reverse engineer, decompile, or disassemble the Services, (ii) use the Services for unlawful purposes, or (iii) violate the intellectual property rights of the Company.

2.3 Modifications: The Company reserves the right to modify, suspend, or discontinue the Services at any time without prior notice.


3. Subscription and Payment Terms

3.1 Subscription: You agree to subscribe to the Services as per the subscription plan you selected during the sign-up process.

3.2 Payment: You will pay the applicable fees for the Services as specified on our website or agreed upon separately. Payments are due as per the billing cycle associated with your subscription.

3.3 Billing and Renewal: Subscription charges will automatically renew at the end of each billing period unless you cancel your subscription in accordance with the cancellation policy.

3.4 Late Payment Fee: Late payments may be subject to a fee of 1.5% per month on the overdue balance.

3.5 Refunds: Refunds are available within 30 days of purchase if the service is defective or if you cancel during the trial period. Fees are non-refundable in cases of service suspension due to a breach of this Agreement.

3.6 Payment Methods: We accept payment via [credit card, RazorPAY, etc.]. You authorize us to charge the payment method you provide for subscription fees.

3.7 Trial Period: If applicable, your subscription may start with a trial period, after which your payment method will automatically be charged for continued access to the Services.


4. User Responsibilities

4.1 Account Security: You are responsible for maintaining the confidentiality of your account credentials and are liable for any activities under your account.

4.2 Prohibited Use: You agree not to use the Services for any illegal, harmful, or fraudulent activities, including spamming, hacking, or violating any third-party rights.


5. Privacy and Data Use

5.1 Privacy Policy: Your use of the Services is also governed by our Privacy Policy, which outlines how we collect, use, and protect your data.

5.2 Data Security: We implement reasonable security measures to protect your data. However, you acknowledge that no method of transmission over the internet is completely secure.

5.3 Data Ownership: You retain ownership of any data you provide to us. We may use this data only as necessary to provide the Services.

5.4 Third-Party Data Sharing: We may share your data with vetted third parties as necessary to provide the services, and you consent to such sharing.

5.5 International Data Transfers: If applicable, you acknowledge and consent to the transfer of your data to jurisdictions outside of your country, including those that may have different data protection laws only for service provision purposes.

7. Ethical Consideration

The product and resources provided are intended solely for use by your Organization and must be utilized in a manner that upholds ethical standards, respects user privacy, and ensures no harm to individuals or communities.

9. Service Level Agreement (SLA)

9.1 Uptime Guarantee: We guarantee 95% uptime for the Services, excluding scheduled maintenance, and will notify you in advance of any planned downtime. Certain components of our product rely on third-party technologies (e.g., GPT APIs and cloud hosting providers). On rare occasions, these external services may experience slowdowns or outages outside of our control, which can temporarily affect performance or availability.

9.2 Maintenance: We may perform routine maintenance, and we will make reasonable efforts to minimize disruption. For emergency maintenance, we will notify you as soon as possible.


10. Support and Customer Service

10.1 Support Channels: Support is available via email, phone, or live chat. Our response times are typically within 24-48 hrs, excluding weekends and holidays.

10.2 Support Hours: Support is available during our regular business hours of 10 AM - 6 PM, Monday through Friday, excluding public holidays.


11. Termination and Suspension

11.1 Termination by You: You may cancel your subscription at any time by following the cancellation process.

11.2 Termination by the Company: We may suspend or terminate your access to the Services if you breach any provision of this Agreement or violate applicable laws.

11.3 Effect of Termination: Upon termination, all rights to access the Services cease, and you will no longer be able to access any of your data, unless otherwise provided. You will remain liable for any outstanding payments due.


12. Indemnity

You agree to indemnify, defend, and hold us harmless from any claims, losses, or damages arising from your misuse of the Services, including violations of this Agreement and any applicable laws.


13. Limitation of Liability

13.1 No Liability for Indirect Damages: To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.

13.2 Limitation of Total Liability: The Company's liability for any claim arising under this Agreement shall be limited to the amount paid by you for the Services in the 12 months preceding the claim.


14. Governing Law and Dispute Resolution

14.1 Governing Law: This Agreement shall be governed by the laws of India.

14.2 Jurisdiction: Courts in Bangalore, Karnataka, India shall have exclusive jurisdiction.

14.3 Dispute Resolution: Any disputes arising from this Agreement shall be first tried to resolve through Mediation.

14.4 Class Action Waiver: You agree not to participate in any class action or representative action against the Company.


15. Changes to the Service and Terms

Our Services are new and may evolve. We may add or remove features, adjust limits, or discontinue parts of the Services. While we’ll try to give reasonable notice, some changes (like legal, security, or technical issues) may happen without prior notice.

We may also update these Terms from time to time. By continuing to use our Services, you agree to the updated Terms.


16. Miscellaneous

16.1 Force Majeure: The Company is not liable for delays or failure to perform due to causes beyond its reasonable control, including acts of nature, war, or government actions.

16.2 Assignment: You may not assign or transfer your rights or obligations under this Agreement without our prior written consent.

16.3 Entire Agreement: This Agreement, including the incorporated documents, constitutes the entire understanding between the parties regarding the Services.

16.4 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full effect.


17. Acknowledgment

By using our Services, you acknowledge that you have read, understood, and agree to this Master Agreement, including the Terms of Service, Privacy Policy, and Subscription Terms. Your continued use of the Services constitutes your acceptance of these terms.


18. Signature

By clicking "I Agree" or otherwise subscribing to the Services, you digitally sign and consent to this Agreement. Your electronic signature has the same legal effect as a handwritten signature.
